Strong end to the year, despite ongoing geopolitical tension and rising inflation.

FOURTH QUARTER

  • Net sales amounted to SEK 651.8 million (466.8), an increase of 39.6% compared with the same period last year. Organic growth amounted to 41.0%.
  • Operating earnings before depreciation (EBITDA) amounted to SEK 86.7 million (14.9), corresponding to an EBITDA margin of 13.3% (3.2).

JANUARY – DECEMBER

  • Net sales amounted to SEK 2,321.5 million (1,946.3), an increase of 19.3% compared with the same period last year. Organic growth amounted to 18.8%.
  • Operating earnings before depreciation (EBITDA) amounted to SEK 239.3 million (200.9), corresponding to an EBITDA margin of 10.3% (10.3).
  • Operating earnings (EBIT) amounted to SEK 178.1 million (143.7), corresponding to an EBIT margin of 7.7% (7.4).
  • Underlying earnings before depreciation (underlying EBITDA) amounted to SEK 285.5 million (239.1), corresponding to an underlying EBITDA margin of 12.3% (12.3).
  • Order intake amounted to SEK 2,293.0 million (1,925.6), an increase of 19.1 % on the same period last year. Organic growth amounted to 17,1%.

COMMENTS FROM THE CEO

Sales for the quarter amounted to SEK 651.8 (466.8) million, an increase of 39.6% on the previous year. ViaCon’s acquired operations contributed SEK 26.4 million to sales, although we chose to leave and divest non-core operations with a sales amount of approximately SEK 24.8 million in the corresponding period last year. Organic growth was 41.0%, adjusted for divestments and acquisitions. During the first three quarters of the year, ViaCon experienced that deliveries to customers were postponed as an effect of disruptions in the supply chain and longer lead times in customers’ financing of projects. During the fourth quarter, ViaCon has focused on delivering these orders, which had a positive impact on sales and results. Adjusted for non-recurring items, adjusted operating earnings before depreciation and amortisation amounted to SEK 93.1 (31.7) million, resulting in an adjusted EBITDA margin of 14.3 (6.8)%. The quarter’s operating earnings were also affected by rising inflation, a higher cost structure, and one-off costs for medium- and long-term growth initiatives.

There are several infrastructure investments taking place around Europe as there is a great need to renew and expand an ageing infrastructure in many countries. During the fourth quarter, we had a high order intake which amounted to SEK 391.5 (334.9) million, of which the organic growth was 14.8%. Demand and order intake have been strong during the year, but unevenly distributed between the quarters, and for the full year order intake amounted to SEK 2,293.0 (1,925.6) million, of which organic growth was 17.1%. The order book at the end of December remained good.

Cash flow for the quarter was strong as an effect of earnings and reduced working capital, driven by deliveries of previously deferred infrastructure projects. Through concerted efforts, we also reduced our inventory and our overdue accounts receivable during the quarter, which also contributed positively to the business’s cash flow.

During the first six months of the year, ViaCon experienced greatly increased prices for input goods and longer lead times for these. During the last six months, prices and lead times decreased and we experienced a stabilisation in the market for both suppliers’ and customers’ financing. During the quarter we have focused on increased flexibility so that we can quickly adapt the business to any changes in demand. ViaCon is affected by the ongoing geopolitical turmoil and rising inflation. The costs related to energy, transport and disruptions in the supply chain are high, which is a challenge, and we work actively to try to compensate for the related effects. High inflation and interest rate rises increases lead to some uncertainty for the market in 2023, especially within the StormWater Solutions business unit which has a larger share of privately funded projects.

JANUARI – DECEMBER

  • Nettoomsättningen uppgick till 2 321,5 (1 946,3) MSEK, en ökning med 19,3 % jämfört med samma period föregående år. Organisk tillväxt uppgick till 18.8%.
  • Rörelseresultat före avskrivningar (EBITDA) uppgick till 239,3 (200,9) MSEK, motsvar- ande en EBITDA-marginal på 10,3 (10,3) %.
  • Rörelseresultat (EBIT) uppgick till 178,1 (143,7) MSEK, motsvarande en EBIT-marginal på 7,7 (7,4) %.
  • Justerat rörelseresultat före avskrivningar (justerad EBITDA) uppgick till 285,5 (239,1) MSEK, motsvarande en justerad EBITDA- marginal på 12,3 (12,3) %.
  • Orderingången uppgick till 2 293,0 (1 925,6) MSEK, en ökning med 19,1% jämfört med samma period föregående år. Organisk tillväxt uppgick till 17.1 %.

KONCERNCHEFENS KOMMENTAR

Kvartalets omsättning uppgick till 651,8 (466,8) MSEK, en ökning med 39,6 procent jämfört med föregående år. ViaCons förvärvade verksamheter har bidragit till en omsättning om 26,4 MSEK, men vi har också valt att lämna samt avyttra icke kärnverksamhet till en omsättning om cirka 24,8 MSEK i motsvarande period föregående år. Den organiska tillväxten uppgick till 41,0 procent justerat för avyttringar och uppköp. Under årets första tre kvartal upplevde ViaCon att leveranser till kunder blev framskjutna som en effekt av störningar i leverantörskedjan och längre ledtider i kundernas finansiering av projekt. Under det fjärde kvartalet har ViaCon fokuserat på att leverera dessa ordar vilket påverkat omsättningen och resultatet positivt. Rensat för engångsposter uppgick justerat rörelseresultat före avskrivningar till 93,1 (31,7) MSEK vilket gav en justerad EBITDA-marginal på 14,3 (6,8) procent. Kvartalets rörelseresultat har även påverkats av stigande inflation, högre kostnadsstruktur samt engångskostnader för medel- och långsiktiga tillväxtsatsningar.

Det sker åtskilliga infrastrukturinvesteringar runt om i Europa då det finns ett stort behov av att förnya och bygga ut en åldrande infrastruktur i många länder. Under det fjärde kvartalet har vi haft en hög orderingång som uppgick till 391,5 (334,9) MSEK, varav den organiska tillväxten var 14,8 procent. Efterfrågan och orderingången har varit stark under året men ojämnt fördelad mellan kvartalen, och för helåret uppgick den till 2 293,0 (1 925,6) MSEK, varav en organisk tillväxt på 17,1 procent. Orderboken vid utgången av december var fortsatt god.

Kvartalets kassaflöde var starkt som en effekt av resultatet och det minskade rörelsekapitalet, drivet av leveranser av tidigare uppskjutna infrastrukturprojekt. Vi har också genom fokuserat arbete reducerat vårt lager samt våra förfallna kundfordringar under kvartalet vilket också bidragit positivt till verksamhetens kassaflöde.

Under årets första halvår upplevde ViaCon kraftigt ökade priser för insatsvaror samt längre ledtider för dessa. Under det sista halvåret har priserna och ledtiderna reducerats och vi har upplevt en stabilisering i marknaden för både leverantörer och kundernas finansiering. Under kvartalet har vi haft fokus på ökad flexibilitet för att snabbt kunna anpassa verksamheten till eventuella förändringar av efterfrågan. ViaCon påverkas av den fortsatta geopolitiska oron och den stigande inflationen. Kostnaderna relaterade till energi, transport och störningar i leveranskedjan är höga, vilket är en utmaning och vi arbetar aktivt med att försöka kompensera för dess effekter. Den höga inflationen och räntehöjningarna leder till en viss osäkerhet för marknaden 2023, framförallt inom affärsområdet StormWater Solutions som har en större andel privat finansierade projekt.

Continued good demand and strong order book, in a quarter of geopolitical tension and rising inflation.

THIRD QUARTER

  • Net sales amounted to SEK 663.5 million (627.8), an increase of 5.7% compared with the same period last year. Organic growth amounted to 3.1%.
  • Operating earnings before depreciation (EBITDA) amounted to SEK 82.8 million (106.0), corresponding to an EBITDA margin of 12.5% (16.9).
  • Operating earnings (EBIT) amounted to SEK 68.0 million (91.3), corresponding to an EBIT margin of 10.2% (14.5).
  • Underlying earnings before depreciation (underlying EBITDA) amounted to SEK 94.5 million (113.2), corresponding to an underlying EBITDA margin of 14.2% (18.0).
  • Order intake amounted to SEK 585.4 million (520.1), an increase of 12.6 % on the same period last year. Organic growth amounted to 15,0%.
  • ViaCon has joined the SteelZero initiative, which entails a commitment to 100% net zero steel by 2050.

JANUARY – SEPTEMBER

  • Net sales amounted to SEK 1,669.7 million (1479.5), an increase of 12.9% compared with the same period last year. Organic growth amounted to 11.7%.
  • Operating earnings before depreciation (EBITDA) amounted to SEK 152.6 million (186.0), corresponding to an EBITDA margin of 9.1% (12.6).
  • Operating earnings (EBIT) amounted to SEK 107.6 million (143.0), corresponding to an EBIT margin of 6.4% (9.7).
  • Underlying earnings before depreciation (underlying EBITDA) amounted to SEK 192.3 million (207.3), corresponding to an underlying EBITDA margin of 11.5% (14.0).
  • Order intake amounted to SEK 1,901.5 million (1,590.8), an increase of 19.5 % on the same period last year. Organic growth amounted to 17,6%.

COMMENTS FROM THE CEO

ViaCon’s acquired operations contributed SEK 39.5 million to sales, although we also chose to leave non-core business with sales of around SEK 21.8 million in the corresponding period last year. Organic growth was 3.1% adjusted for divestments and acquisitions. Operating earnings for the quarter were affected by inflation, a higher cost structure, and non-recurring expenses for medium- and long-term initiatives. Adjusted for non-recurring items, operating earnings before depreciation and amortisation amounted to SEK 94.5 million (113.2), which resulted in an adjusted EBITDA margin of 14.2% (18.0). Macroeconomic disruptions have led to a less favourable sales mix, primarily in the GeoTechnical Solutions business unit.

There are various infrastructure investments under way across Europe, as there is a great need to renew and expand ageing infrastructure in many countries. Recent inflation and interest rate rises have caused delays in customers’ financing solutions for infrastructure projects, and certain customers are more cautious about the future, particularly in the StormWater Solutions business unit. Incoming orders were however very good during the third quarter, and the order book for the season remains strong, albeit with unusually long lead times. Demand and incoming orders for the first nine months were strong and amounted to SEK 1,901.5 million (1,590.8), of which organic growth was 17.6%. They were however uneven between the first two quarters. During the third quarter incoming orders amounted to SEK 585.4 million (520.1), of which organic growth was 15.0%.

ViaCon’s business is affected by the geopolitical tension and rising inflation. There is uncertainty regarding macroeconomic developments, so ViaCon has focused heavily on flexibility during the quarter, ensuring agile adaptability of operations in the event of a shift in demand. Costs related to energy, transport and supply chain disruptions are high, which is a challenge, and we are working actively to try to compensate for these effects.

Cash flow was strong during the quarter, mainly as a direct result of a decrease in working capital. Working capital was higher than normal during the first six months of the year. This was a result of postponed deliveries for infrastructure projects, combined with the longer lead times in the wake of recent strains on the supply chain, which have primarily entailed increasingly high inventory levels. The trend has now been bucked, and during the third quarter we have seen some improvement in customers’ requested delivery times and in the supply chain, with shorter lead times and less disruption, with reduced capital tied up as a result. We have also worked concertedly and successfully to reduce our overdue accounts receivable during the quarter.

Kvartalets rörelseresultat har påverkats av inflation, högre kostnadsstruktur samt engångskostnader för medel- och långsiktiga satsningar. Rensat från engångsposter uppgick justerat rörelseresultat före avskrivningar till 94,5 (113,2) MSEK vilket gav en justerad EBITDA-marginal på 14,2 (18,0) procent. De makroekonomiska störningarna har lett till en mindre gynnsam försäljningsmix inom framför allt affärsområdet GeoTechnical Solutions.

Under det tredje kvartalet har vi dock haft en mycket god orderingång och orderboken för säsongen är fortsatt hög men med ovanligt långa ledtider. Efterfrågan och orderingången har under de första nio månaderna varit stark och uppgick till 1 901,5 (1 590,8) MSEK, varav en organisk tillväxt på 17,6 procent. Däremot har den varit ojämnt fördelad mellan de första två kvartalen. Under tredje kvartalet uppgick orderingången till 585,4 (520,1) MSEK, varav den organiska tillväxten uppgick till 15,0 procent.

ViaCons verksamhet påverkas av den geopolitiska oron och den stigande inflationen. Det finns en osäkerhet kring den makroekonomiska utvecklingen, och därför har ViaCon under kvartalet haft ett högt fokus på flexibilitet för att snabbt kunna anpassa verksamheten till en eventuell förändring av efterfrågan. Kostnaderna relaterade till energi, transport och störningar i leveranskedjan är höga vilket fortsatt är en utmaning och vi arbetar aktivt med att försöka kompensera för dess effekter.
Kassaflödet var starkt under kvartalet, framför allt som ett direkt resultat av ett minskat rörelsekapital. Under första halvåret var rörelsekapitalet högre än normalt. Det var ett resultat av framskjutna leveranser till infrastrukturprojekt kombinerat med de längre ledtiderna i spåren av den senaste tidens ansträngda leverantörskedja som inneburit framför allt högre varulager. Trenden är nu bruten och vi har under tredje kvartalet sett en viss förbättring i kundernas önskade leveranstider samt i leverantörsledet med kortare ledtider och mindre störningar med en reducerad kapitalbindning som följd. Vi har också genom fokuserat arbete reducerat våra förfallna kundfordringar under kvartalet.

ViaCon är fast besluten att ligga i framkant för att positivt påverka hållbarhetsutvecklingen inom infrastruktursektorn, ett område där vi verkligen kan göra skillnad för våra kunder och vår omgivning. ANDRA KVARTALET

  • Rörelseresultat (EBIT) uppgick till 39,6 (51,7) MSEK, motsvarande en EBIT-marginal på 3,9 (6,1) %.
  • Justerat rörelseresultat före avskrivningar (justerad EBITDA) uppgick till 97,8 (94,2) MSEK, motsvarande en justerad EBITDA- marginal på 9,7 (11,1) %.
  • Orderingången uppgick till 1 316,1 (1 070,7) MSEK, en ökning med 22,9% jämfört med samma period föregående år. Organisk tillväxt uppgick till 18.9 %.

KONCERNCHEFENS KOMMENTAR

Kvartalets omsättning uppgick till 639,9 (537,5) MSEK, en ökning med 19,1 procent jämfört med föregående år. ViaCons förvärvade verksamheter har bidragit till en omsättning om 33,5 MSEK, men vi har också valt att lämna icke kärnverksamhet till en omsättning om cirka 22,5 MSEK i motsvarande period föregående år. Den organiska tillväxten uppgick till 20,6 procent justerat för avyttringar och uppköp, ett resultat av prisökningar och en god underliggande efterfrågan inom samtliga segment.

Efterfrågan och orderingången har under första halvåret varit stark och uppgick till 1 316,1 (1 070,7) med en organisk tillväxt på 17,4%. Däremot har den varit ojämnt fördelad mellan kvartalen. Under andra kvartalet uppgick orderingången till 643,3 (679,5) MSEK, en minskning med -5,3 procent i jämförelse med samma period föregående år. Orderingångens organiska tillväxt uppgick till -9,1 procent. Orderingångens tillväxt för första kvartalet uppgick totalt till hela 72,0 procent samt 67,5 procent för den organiska tillväxten, vilket är högsta nivån någonsin.

Kvartalets rörelseresultat har påverkats av en högre kostnadsstruktur genom förvärv och ökad volym samt engångskostnader. Rensat från engångsposter uppgick justerat rörelseresultat före avskrivningar till 96,5 (81,4) MSEK vilket gav en justerad EBITDA-marginal på 15,1 (15,1) procent.

Den geopolitiska oron och en stigande inflation bidrar till en osäkerhet kring utvecklingen framöver. Kvartalet har bjudit på fortsatta störningar i leverantörskedjorna, långa leveranstider och viss råmaterialbrist men läget har nu stabiliserats. Kassaflödet var svagt under första halvåret som ett direkt resultat av ett fortsatt ökat rörelsekapital. Det är framförallt de längre ledtiderna i spåren av den senaste tidens ansträngda leverantörskedja som gjort att vi behövt öka vårt varulager. Vi förväntar oss att trenden vänder under hösten och kan redan nu se en ljusning i leverantörsledet med kortare ledtider och mindre störningar.

Den 2 maj 2022 slutfördes förvärvet av tillgångar från Bergschenhoek Civiele Techniek B.V. (BCT) i Nederländerna. Genom detta förvärv stärker ViaCon ytterligare sin marknadsledande position i Europa för korrugerade stålbaserade infrastrukturlösningar, vilket ger en ännu starkare plattform för att leverera konkurrenskraftiga och hållbara kundlösningar. Ett intensivt arbete med att integrera den senaste tidens förvärv pågår samtidigt som vi fortsätter att utveckla vår verksamhet långsiktigt, både genom att successivt bredda vår marknads-närvaro och kunderbjudande samt öka vår produktivitet.

ViaCon är fast besluten att ligga i framkant för att positivt påverka hållbarhetsutvecklingen inom infrastruktursektorn, ett område där vi verkligen kan göra skillnad för våra kunder och vår omgivning. Genom att gå med i initiativet åtar sig ViaCon att ha övergått till hundraprocentigt nettonoll stål år 2050.

ViaCon’s second quarter was characterised by continued strong growth, despite geopolitical tension and rising inflation.

SECOND QUARTER

  • Net sales amounted to SEK 639.9 million (537.5), an increase of 19.1% compared with the same period last year. Organic growth amounted to 20.6%.
  • Operating earnings before depreciation (EBITDA) amounted to SEK 82.7 million (72.0), corresponding to an EBITDA margin of 12.9% (13.4).

JANUARY – JUNE

  • Net sales amounted to SEK 1,006.2 million (851.8), an increase of 18.1% compared with the same period last year. Organic growth amounted to 18.2%.
  • Operating earnings before depreciation (EBITDA) amounted to SEK 69.7 million (80.0), corresponding to an EBITDA margin of 6.9% (9.4).
  • Operating earnings (EBIT) amounted to SEK 39.6 million (51.7), corresponding to an EBIT margin of 3.9% (6.1).
  • Underlying earnings before depreciation (underlying EBITDA) amounted to SEK 97.8 million (94.2), corresponding to an underlying EBITDA margin of 9.7% (11.1).
  • Order intake amounted to SEK 1,316.1 million (1,070.7), an increase of 22.9 % on the same period last year. Organic growth amounted to 18,9%.

COMMENTS FROM THE CEO

Sales for the quarter totalled SEK 639.9 million (537.5), an increase of 19.1% on the previous year. ViaCon’s acquired operations contributed SEK 33.5 million to sales, although we also chose to leave non-core business with annual sales of around SEK 22.5 million in the corresponding period last year. Organic growth was 20.6% adjusted for divestments and acquisitions, a result of price increases and good underlying demand in all segments. During the first half of the year, demand and order intake have been strong and amounted to 1,316.1 (1,070.7) with an organic growth of 17.4%. However, it has been unevenly distributed between the quarters. During the second quarter, order intake amounted to SEK 643.3 (679.5) million, a decrease of -5.3% compared to the same period last year. The organic growth of order intake amounted to -9.1%. The order intake growth for the first quarter amounted to a total of 72.0% and 67.5% for the organic growth, which is the highest level ever.

Operating earnings for the quarter were affected by a higher cost structure through acquisitions and higher volume, as well as one-off costs. Adjusted for non-recurring items, underlying operating earnings before depreciation and amortisation amounted to SEK 96.5 million (81.4), which resulted in an underlying EBITDA margin of 15.1% (15.1).

Geopolitical tension and rising inflation bring some uncertainty in developments moving forward. The quarter has brought continued disruptions in supply chains, long delivery times and some raw material shortages, but the situation has now stabilised. Cash flow was weak during the first half of the year as a direct result of a continued increase in working capital. The main reason for having to increase our inventories is the longer lead times in the wake of the recent strain on supply chains. We expect this trend to turn around during the autumn, and can already see improvements in the supply level, with shorter lead times and less disruption.

On 2 May 2022, the acquisition of assets from Bergschenhoek Civiele Techniek B.V. (BCT) in the Netherlands was finalised. The acquisition further strengthens ViaCon’s market-leading position in Europe for corrugated steel-based infrastructure solutions, thus establishing an even stronger platform for delivering sustainable, competitive customer solutions. Intensive work is under way to integrate recent acquisitions while we also continue to develop our business long-term, both by progressively broadening our market presence and customer offering, and by increasing our productivity.

ViaCon is determined to be at the forefront in guiding the infrastructure sector in a sustainable direction, an area where we genuinely can make a difference for our customers and our wider environment. It is therefore very pleasing to have received further awards for our sustainability work during the quarter. We won FSN Capital’s ESG Award 2021, a distinction set up by ViaCon’s owners to create strong, more sustainable portfolio companies as part of their efforts to integrate ESG and climate aspects in the entire investment cycle. In addition, we were made Project of the Year winner 2022 by The National Corrugated Steel Pipe Association (NCSPA) in the Going Green category, for our efforts in building a sustainable future. We also won the prestigious prize in the GoGreen class at the IFAT trade fair. We see these awards as firm acknowledgements of our sustainability work and our contribution to building a sustainable future.

Continuing to align with key sustainability goals and leading the charge for positive action toward green development and against climate change, the ViaCon Group has joined the SteelZero initiative, which is focused on increasing market demand for net-zero steel. The ViaCon Group today announces the appointment of a new Chief Financial Officer (CFO), Philip Delborn. With more than 20 years of leadership experience in commercial, operational and financial disciplines, Philip will be instrumental in driving the continued overall performance and success of the ViaCon Group.

Prior to joining ViaCon, Philip held C-level and other senior leadership roles, including CFO at listed GHP Specialty Care, where he since 2016 had full responsibility for the Group finance and HR functions. Before GHP Specialty Care, Philip held leadership roles at Unilabs and Capio Diagnostik. As the new CFO of the ViaCon Group, Philip joins the ViaCon Executive Team.

“In order to balance the demands of a rapidly growing business, I have decided to appoint a new chief financial officer,” said ViaCon Group CEO Stefan Nordström. “I am pleased to introduce Philip Delborn as the new CFO who starts latest mid-October this year. I would like to thank our current CFO, Helena Wennerström, for her strive and efforts to put necessary structures in place the last 2 years. Genom detta förvärv stärker ViaCon ytterligare sin marknadsledande position i Europa för korrugerade stålbaserade infrastrukturlösningar, vilket ger en ännu starkare plattform för att leverera konkurrenskraftiga och hållbara kundlösningar. Vi har redan börjat arbeta med de affärsmöjligheter som förvärvet för med sig. Att på ett klokt sätt integrera förvärv är ett prioriterat område och vi har en väl utarbetad modell för att stärka både befintliga och nyförvärvade bolag genom att förverkliga synergierna.

Samtidigt kommer vi fortsätta att utveckla vår verksamhet genom effektiviseringar och genom att stärka vårt team ytterligare.

Ett första kvartal med en rekordstark orderingång skapar förutsättningar för en god utveckling under resten av året, även om den geopolitiska situationen kommer att medföra en mängd utmaningar.   • Underlying earnings before depreciation (underlying EBITDA) amounted to SEK 1.4 million (12.8) , corresponding to an underlying EBITDA margin of 0.4% (4.1).
  • Order intake amounted to SEK 672.8 million (391.1), an increase of 72.0 % on the same period last year. Organic growth amounted to 67,5%.
  • FI (the Swedish Financial Supervisory Authority) approved ViaCon’s prospectus prior to admitting the company’s bonds for trading on Nasdaq Stockholm.
  • An agreement was signed to acquire assets from Bergschenhoek Civiele Techniek B.V. to a purchase price of EUR 3.7 million.

Order intake for Q1 were the highest ever for a single quarter, amounting to SEK 672.8 million (391.1), an increase of 72.0% compared to the same period last year. The organic growth amounted to 67,5%.

An agreement was signed during Q1 2022 to acquire assets from Bergschenhoek Civiele Techniek B.V. (BCT) in the Netherlands relating to the MultiPlate, SuperCor, HelCor/Spirosol and plastic pipe product ranges, with combined annual sales of approximately SEK 27 million. The deal was completed on May 2, 2022. The acquisition further strengthens ViaCon’s market leading position in Europe for corrugated steel-based infrastructure solutions, thus establishing an even stronger platform for delivering sustainable, competitive customer solutions. We have already begun working on the business opportunities created by the acquisition. To wisely integrating acquisitions is a priority area and we have a well-developed model to strengthen both existing and newly acquired companies by realizing the synergies.

ViaCon is committed to being at the forefront of positively influencing sustainability development in the infrastructure sector and has a stated goal of becoming net zero, i.e. reducing greenhouse gas emissions to as close to zero as possible, by 2030. Moreover, we will need to counter the higher inflation with increased productivity and continue the work of passing on cost increases on raw materials, energy and transport to the customer. Meanwhile, we will continue to develop our operation by implementing efficiencies and further strengthening our team.

A first quarter with a record strong order intake creates conditions for a good development during the rest of the year, although the geopolitical situation will bring a number of challenges. ViaCon is, however, significantly stronger today than it was a year ago. ViaCon acquires assets from Bergschenhoek Civiele Techniek B.V. and further strengthens its market leader position in Europe.

ViaCon has today, through its subsidiary ViaCon Netherlands B.V. (ViaCon), signed an agreement to acquire assets from Bergschenhoek Civiele Techniek B.V. (BCT) related to the product range of MultiPlate, SuperCor, HelCor/Spirosol, and plastic pipes. Through this acquisition ViaCon further strengthens its market leadership position in Europe for corrugated steel-based civil engineering solutions, providing an even stronger platform for delivering competitive and sustainable customer solutions. The purchase price amounts to EUR 3.7 million (approx. SEK 38,3 million) and will be paid in cash.

BCT, located in Bergschenhoek and Zevenbergen in the Netherlands, is the largest producer of steel culverts in the Benelux region and holds a strong market position, both in the Netherlands and in nearby markets. In relation to the assets to be acquired by ViaCon, BCT develops, produces, and trade various solutions for culverts, tunnels and bridges, drainage and water storage. BCT has long relations with the ViaCon Group and ViaCon Hamco in Germany (which was acquired by ViaCon in April 2021). Hamco started the production site in Zevenbergen, NL, and it was acquired by Bergschenhoek Group in 1993, and up until today BCT has sourced MultiPlate and SuperCor from Hamco and ViaCon.

ViaCon acquires assets from BCT related to the product range of MultiPlate, SuperCor, HelCor/Spirosol, and plastic pipes and plastic pipes accessories, used mainly for the applications of culverts, tunnels and bridges, drainage and water storage. The acquisition is aligned with ViaCon’s strategy to grow further into Western Europe and to build a stronger foothold in the Benelux area as well as to develop and grow a high-margin business for all our business units.

In relation to the products and segments ViaCon is set to acquire as part of the asset deal, the annual sales of the business have historically been around EUR 2.6 million (approximately SEK 26,9 million) with a normalized EBITDA margin of approximately 21 percent.

The financing of the acquisition will be handled within the existing financial setup. ViaCon’s transaction costs in relation to the acquisition is estimated to EUR 0,2 million.

Closing is expected to take place on May 2, 2022. The completion of the acquisition is conditional upon certain actions taken by the seller.

ViaCon Netherlands B.V. will change its company name to ViaCon Bergschenhoek Civiele Techniek B.V., and will have exclusive rights to the name Bergschenhoek Civiele Techniek (BCT) B.V. The company will be a sales company and the products will be delivered from ViaCon's current production setup. After completion of the transaction, the current owners of BCT will continue to sell products not in scope of ViaCon’s acquisition, but under a different company name.
